Terms of Use
Please read carefully the terms and conditions governing the use of the PriPass platform.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User") and PriPass Tecnologia Ltda. ("PriPass", "we" or "our"), registered under CNPJ No. XX.XXX.XXX/0001-XX, headquartered in Sao Paulo, SP, Brazil. By accessing or using the PriPass platform, including the mobile application, the website, and any related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision, you must not use the Service.
1Definitions
"Platform" refers to the complete set of systems operated by PriPass, including the mobile application (iOS and Android), the website (pripass.com), administrative dashboards, and any associated APIs or interfaces.
"Partner Gym" refers to any fitness, sports, or wellness establishment that has joined the PriPass network through a partnership agreement.
"Plan" refers to the monthly subscription package contracted by the User, which defines the accessible gym categories, the maximum number of monthly visits, and included benefits.
"Check-in" refers to the process of validating access to a Partner Gym through a QR Code generated in the PriPass application.
"QR Code" refers to the single-use code, valid for 5 (five) minutes, generated by the application for each access.
2Eligibility and Registration
To use the Service, the User must be at least 18 (eighteen) years of age or the applicable legal age of majority in their jurisdiction. Minors may use the Service with verifiable consent from their legal guardians.
Upon registration, the User agrees to provide truthful, complete, and up-to-date information. Providing false or misleading information constitutes a violation of these Terms and may result in immediate account termination.
Each User may maintain only one active account on the platform. Creating multiple accounts is prohibited and may result in the termination of all associated accounts.
The User is solely responsible for the security of their access credentials (email and password). Any activity conducted through their account will be their responsibility.
3Description of the Service
PriPass is a technology platform that facilitates User access to a network of Partner Gyms. PriPass is not a gym, does not provide physical education services, and is not responsible for the quality of facilities or services provided by Partner Gyms.
The Service allows the User to: (a) subscribe to a monthly Plan; (b) generate access QR Codes in the application; (c) check in at Partner Gyms compatible with their Plan; (d) track their visit and workout history; and (e) manage their subscription.
The availability of Partner Gyms may vary by region, Plan category, and operational limitations. PriPass does not guarantee the uninterrupted availability of any specific Partner Gym.
4Plans, Payments, and Billing
PriPass offers various monthly subscription Plans, each with specific access features, visit limits, and gym categories. Updated details for each Plan are available on the plans page of the website and in the application.
Subscription payments are processed through Stripe, a third-party payment processor. By subscribing to a Plan, the User authorizes recurring monthly charges to the registered credit or debit card.
Plan prices are displayed in the User's local currency, based on exchange rates at the time of synchronization. Prices may be adjusted by PriPass with a minimum of 30 (thirty) days' prior notice.
In the event of a payment failure, PriPass may make additional attempts within a period of 7 (seven) days. If payment is not processed, access to the Service will be suspended until regularization.
PriPass does not store complete credit card data. All payment information is securely processed and stored by Stripe, in compliance with PCI-DSS standards.
5Check-in and Gym Access
Access to Partner Gyms is exclusively through QR Codes generated in the PriPass application. Each QR Code is single-use and valid for 5 (five) minutes after generation.
The User must present the QR Code at the Partner Gym's reception. A gym staff member will scan the code to validate access.
There is a minimum interval of 3 (three) hours between check-ins at the same Partner Gym. There are no interval restrictions between check-ins at different gyms.
The number of monthly visits is limited according to the contracted Plan. Excess visits will not be permitted until the beginning of the next billing cycle.
Gyms requiring advance booking may require time slot reservations through the application, subject to availability.
6User Obligations
The User agrees to: (a) use the Service lawfully and in good faith; (b) respect the internal rules of each Partner Gym; (c) not share, transfer, or sell their QR Code or access credentials to third parties; (d) keep their registration data up to date.
The following is expressly prohibited: (a) accessing gyms using another person's QR Code; (b) using fraudulent means to circumvent check-in limits; (c) causing damage to Partner Gym facilities; (d) engaging in any conduct that may compromise the security or operation of the platform.
QR Code use is personal and non-transferable. PriPass employs verification mechanisms to detect fraudulent use, which may result in immediate account cancellation without the right to a refund.
In the event of any accident, injury, or incident at a Partner Gym's facilities, the User acknowledges that the responsibility lies with the respective gym, in accordance with applicable civil liability laws.
7Cancellation and Refunds
The User may cancel their subscription at any time, directly through the application or the website. The cancellation will take effect at the end of the current paid billing period, and the User will retain access to the Service until that date.
There are no penalties, cancellation fees, or lock-in clauses. PriPass believes in the User's freedom of choice.
Refunds will be evaluated on a case-by-case basis and may be granted under the following circumstances: (a) proven unauthorized charges; (b) total Service unavailability for a period exceeding 7 (seven) consecutive days; (c) other situations provided for by the Consumer Defense Code.
Refund requests must be submitted to support within 30 (thirty) days of the triggering event.
8Intellectual Property
All content on the PriPass platform, including but not limited to trademarks, logos, software, interfaces, text, images, design, and source code, is the exclusive property of PriPass or its licensors, protected by Brazilian laws and international intellectual property treaties.
The User receives a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms. No intellectual property rights are transferred to the User.
Reproduction, modification, distribution, reverse engineering, decompilation, or creation of derivative works from the platform is prohibited, except where expressly authorized by law.
9Privacy and Data Protection
PriPass is committed to protecting its Users' personal data, in compliance with Brazil's General Data Protection Law (LGPD - Law No. 13,709/2018), the European Union's General Data Protection Regulation (GDPR), and other applicable legislation.
Personal data collected (name, email, CPF, check-in history, payment data processed via Stripe) is processed for the following purposes: (a) Service provision; (b) payment processing; (c) communication with the User; (d) platform improvement; (e) compliance with legal obligations.
Data is stored on secure servers with encryption in transit (TLS 1.3) and at rest (AES-256). Access to data is restricted to authorized personnel under confidentiality obligations.
The User has the following rights regarding their data: (a) access; (b) correction; (c) deletion; (d) portability; (e) withdrawal of consent; (f) information about data sharing. These rights may be exercised by contacting [email protected].

10Availability and Maintenance
PriPass strives to maintain the Service available on a continuous basis, but does not guarantee uninterrupted availability. Temporary interruptions may occur for maintenance, updates, or due to force majeure events.
PriPass shall not be liable for unavailability resulting from: (a) third-party infrastructure failures (internet, servers, cloud providers); (b) cyber attacks; (c) natural disasters; (d) government actions.
Scheduled maintenance will be communicated with reasonable advance notice through the application or email.
11Limitation of Liability
PriPass is a technology intermediary and shall not be liable for: (a) the quality of facilities, equipment, or services provided by Partner Gyms; (b) accidents, injuries, or damages occurring on gym premises; (c) the conduct of gym staff or other gym-goers.
To the maximum extent permitted by applicable law, PriPass's total liability for any damages arising from the use of the Service shall be limited to the total amount paid by the User in the 12 (twelve) months preceding the event giving rise to liability.
In no event shall PriPass be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.
The above limitations shall not apply in cases of willful misconduct, fraud, or violation of fundamental consumer rights, as provided by applicable law.
12Indemnification
The User agrees to indemnify, defend, and hold harmless PriPass, its directors, employees, partners, and affiliates from any claims, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from: (a) violation of these Terms; (b) misuse of the Service; (c) violation of third-party rights; (d) false information provided during registration.
13Modifications to Terms
PriPass reserves the right to modify these Terms at any time. Changes will be communicated to the User through the application, email, or website publication with a minimum of 30 (thirty) days' advance notice.
Continued use of the Service after the effective date of changes constitutes acceptance of the new Terms. If the User does not agree with the modifications, they may cancel their subscription before the new Terms take effect.
The history of previous versions of these Terms will be available for consultation upon request to support.
14Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federative Republic of Brazil. For Users residing in the European Union, the mandatory provisions of the GDPR and local consumer protection legislation also apply.
The parties agree to seek amicable resolution of any disputes. If not possible, disputes shall be submitted to mediation at a reputable mediation chamber.
If the dispute persists, the courts of the District of Sao Paulo, SP, Brazil, shall have jurisdiction to settle any matters arising from these Terms, subject to the consumer's right to elect the court of their domicile, in accordance with Article 101, I, of the Consumer Defense Code.
For Users outside Brazil, disputes shall be resolved in accordance with the rules of the International Chamber of Commerce (ICC) arbitration, in Sao Paulo, Brazil, unless the User's local legislation requires a different jurisdiction.
15General Provisions
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
PriPass's failure or tolerance in exercising any right under these Terms shall not constitute a waiver or novation.
These Terms constitute the entire agreement between the User and PriPass regarding the use of the Service, superseding any prior agreements, whether written or verbal.
PriPass may assign or transfer these Terms, in whole or in part, to third parties upon notice to the User. The User may not assign their rights or obligations without PriPass's prior written consent.
